Russia blocks or takes control of an EU bank's Russian unit

The test Between 26 Oct 2026 and 25 Oct 2027, a Russian decree, court or authority places the Russian bank of an EU-based banking group under temporary management, seizes or transfers that bank or its shares, freezes or bans the transfer of its shares, or revokes or suspends an authorisation given for its sale; acts in force before 26 Oct 2026 do not count. The score is for an act of the Russian state; Strature gives no view on UniCredit, Raiffeisen, Intesa or any other company.

What changed

Dated, newest first

  1. Likelihood 3 to 4.
  2. Since Oct 2024 approved exits require a discount of at least 60% and an exit tax of at least 35% (UNCTAD); an unnamed senior Russian official told Reuters 'Let them be scared'. [4]
  3. Decree published 5 Oct 2026 authorises the spin-off and the purchase of UniCredit's 100% stake; no further Russian approvals needed; UniCredit Bank Russia 23rd by assets in Interfax-100 for 2Q 2026. [2]
  4. A Russian newspaper report named a buyer (as relayed by Meduza); UniCredit has not named one, and Strature has not confirmed the report. [3]
  5. Putin at Valdai: firms not nationalised; could get assets back under a 'favourable scenario'. [10]
  6. Decree of 28 Sep 2026 put Metro's Russian business under Torg RUS. [9]
  7. Decree published 17 Sep 2026 put Nestle's and Auchan's Russian units under L.E.V. Management. [8]

Why it matters

EU banking groups still run banks in Russia. On 5 October 2026 a decree signed by President Putin cleared an Italian-owned one to split its Russian bank and sell most of it to an unnamed UAE investor, with no further Russian approvals needed; an Austrian-owned one has been under a Russian court ban on transferring its Russian bank's shares since at least April 2025, and its owner is suing in Austria over the award behind that ban. In September Russia put the local units of three Western consumer firms under outside management. The risk is a new Russian act inside the window that blocks a sale or takes control of an EU bank's Russian unit; no Canadian channel is sourced.

Why Likelihood 4 Scores the court limb (a new seizure, freeze or share-transfer ban), the most likely after the widening; acts already in force, such as the 2025 AO Raiffeisenbank ban, do not count as the event.

Why Impact 3 Threshold case: one EU bank's Russian unit has its sale blocked or its shares banned from transfer, sized on the only bank with a sourced balance sheet. Key measure: the Russian bank's assets, RUB 689bn at end-2025 (about US$8.8bn), a gross at-risk figure.

The other facts on file (9)
  • UniCredit said it signed a non-binding term sheet under which a spun-off New Bank, kept by UniCredit, would handle euro and dollar payments for Western clients and Russian corporate clients that are not sanctioned, in UniCredit's words, and the Remaining Bank of AO Bank would go to a UAE private investor; closing expected 1H 2027; P&L hit about EUR 3.0-3.3bn incl. EUR 1.6-1.8bn non-cash FX reserve; residual extreme loss from about 93 bp to 30-40 bp of capital, excluding regulatory thresholds. [1] (7 May 2026)
  • Peskov: no decision yet; a special procedure; reciprocity among the factors. [5] (7 May 2026)
  • UniCredit halved cross-border lending in Russia in 2025 to EUR 600m; EUR 444m guarantee dispute with a Russian energy company open. [7] (28 Feb 2026)
  • An arbitration tribunal in St Petersburg froze UniCredit's Russian accounts and assets in 2024 over an LNG terminal project. [6] (7 May 2026)
  • Russian appeal court upheld EUR 2.044bn award plus interest to Rasperia against AO Raiffeisenbank; share transfer ban imposed to secure payment. [11] (24 Apr 2025)
  • RBI and AO Raiffeisenbank said they would sue Rasperia in Austria for about EUR 3.15bn after a Russian anti-suit injunction capped Austrian claims at EUR 2.85bn; enforcement proceeds expected in 6-12 months. [12] (23 Jul 2026)
  • ING ended its Russian bank sale: 'no realistic expectation' the buyer would get approvals. [13] (7 Apr 2026)
  • UniCredit Bank (Russia) assets fell 19% in 2025 to RUB 689bn; profit fell to RUB 37bn from RUB 44bn. [15] (7 Apr 2026)
  • Bank of Russia official rate: 78.2267 roubles per US dollar for 31 Dec 2025 (RUB 689bn is about US$8.8bn). [16] (31 Dec 2025)

Channels 5 on the card

  1. CanadaNo Canadian figure on file; no direct loss.
  2. Italian and Austrian banksEU banking groups keep Russian units on their books while a sale is blocked; UniCredit reported a residual extreme loss of about 93 bp of capital at 1Q26, excluding regulatory thresholds [1].
  3. EU supervisionThe ECB's push to shrink in Russia would stay unmet for reasons outside the bank's control (Strature reading).
  4. Payments with RussiaOutside management would put the New Bank's euro and dollar payment channel under Russian control.
  5. Sanctions bargainingPeskov named reciprocity as a factor; a reversal would most likely follow a new EU or Italian measure (Strature reading).

Three scenarios and their signposts

  1. S1

    The sale closes

Binding documents are signed and the Remaining Bank passes to the UAE buyer.

  2. S2

    The deal stalls

No binding agreement or a failed spin-off delays closing past mid-2027, with no Russian act against the bank.

  3. S3

    Russia reverses

After a new EU or Italian measure, a decree suspends the authorisation or names a temporary manager.

The signposts of each scenario
PathSignpost
S1Binding sale agreements for an EU bank's Russian unit announced
S2Announced closing date moved past mid-2027
S3A decree on the legal information portal suspending a sale authorisation or naming a temporary manager for an EU bank's Russian unit

No probability is given for the three paths.

The other side

If the sale closes, UniCredit ends most of its Russian exposure and keeps a payments bank for Western clients [1]; the approval, five months after the deal was announced [1][2], shows that a Western bank can still exit by agreement.
